These Terms of Service ("Terms") govern your access to and use of Juno Labs's websites located at junolabs.ai (and its subdomains, including consent.junolabs.ai, privacy.junolabs.ai, and terms.junolabs.ai), and any related products, services, or applications offered by Juno Labs (collectively, the "Service"). Juno Labs is a division of Resolve Tech Solutions ("Juno Labs", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to any part of the Terms, you must not access or use the Service.

Eligibility

You must be at least 18 years old and capable of forming a binding contract with Juno Labs to access or use the Service. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Accounts and contractor onboarding

Some features of the Service require registration as a contractor or customer. You agree to provide accurate, current, and complete information during onboarding and to keep your account information updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

SMS notifications

If you opt in via our consent page at consent.junolabs.ai or any other Juno Labs-hosted opt-in form, you authorize Juno Labs to send you SMS appointment reminders and operational messages regarding service assignments at the mobile number you provide. By opting in, you acknowledge that:

• You will receive approximately 10–30 messages per month during active assignments.
• Message and data rates may apply, and you are solely responsible for any such charges from your wireless carrier.
• You may reply STOP at any time to unsubscribe and HELP at any time to receive support contact information.
• Consent to receive SMS is not a condition of any contractor engagement or service use.
• The mobile number you provide is yours and you are authorized to receive messages at that number.

Juno Labs is not liable for messages that are delayed or undelivered due to factors outside our reasonable control, including wireless carrier issues, device settings, or service outages.

Acceptable use

You agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair it;
• Use any robot, spider, or other automatic device to access the Service;
• Introduce any viruses, Trojan horses, worms, or other malicious or technologically harmful material;
• Attempt to gain unauthorized access to, interfere with, or disrupt any part of the Service or its associated systems or networks;
• Use the Service for any unlawful purpose or in violation of these Terms.

Intellectual property

The Service and its original content, features, and functionality are and will remain the exclusive property of Juno Labs and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Third-party services

The Service may rely on or contain links to third-party websites or services that are not owned or controlled by Juno Labs (including our SMS messaging delivery providers). Juno Labs has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. JUNO LABS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUNO LABS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

Indemnification

You agree to defend, indemnify, and hold harmless Juno Labs and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Changes to these terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
